Perren

Terms of Service

Effective 8 September 2026 · Last updated 8 September 2026

This is the agreement between Tyrus Labs LLC and the business using Perren. It is written to be read, not to be survived — where a clause matters, it says why.

Perren is sold to businesses, not to consumers. By installing Perren or agreeing to an order, you accept these terms on behalf of your organization and confirm you are authorized to do so.

1. Definitions

2. Licence

We grant you a non-exclusive, non-transferable, revocable licence to install and use Perren for your internal business purposes, for the number of Seats you have paid for, during your subscription term.

Perren is licensed per person, not per device or per company. A Seat is for one named individual. Two people may not share a Seat, and a Seat may be reassigned to a new individual when the original one leaves your organization — not rotated between people to avoid buying Seats.

You may not

3. What Perren is, and what it is not

PERREN PRODUCES AI-GENERATED OUTPUT. IT CAN BE WRONG. Perren is built to reduce that — she cites where facts came from and is designed to say she does not know rather than guess — but she is not a person, she is not infallible, and she is not supervised by us.

YOU ARE RESPONSIBLE FOR REVIEWING OUTPUT BEFORE YOU RELY ON IT OR ACT ON IT.

Perren does not provide professional advice. Nothing she produces is legal, tax, accounting, auditing, investment, financial, medical, or other licensed professional advice, and using her does not create any professional–client relationship. She is a tool for the people who do that work, not a substitute for them. Where a decision has legal, financial, or regulatory consequences, have it reviewed by a qualified professional.

You decide what to tell her. Perren works better the more she knows about your business, and that is your judgment call to make. If information is subject to a confidentiality obligation, a regulatory regime, or a contract that restricts processing by third parties, it is your responsibility to determine whether it is appropriate to put into Perren. Section 5 explains where your information goes.

4. Your Content and Output

You own Your Content. We claim no ownership of it. You grant us only the limited licence needed to operate the service for you — principally, to transmit your question and the records needed to answer it to our model provider and return the answer.

As between you and us, you own the Output you receive, to the extent it is capable of ownership. Note that AI-generated material may not be protected by copyright in the United States and elsewhere; we make no representation that Output is protectable, original, or non-infringing.

Output is generated. Similar or identical Output may be produced for other customers asking similar questions, and we do not restrict our own use of the underlying models.

5. Where your information goes

The detail is in our Privacy Policy, which forms part of this agreement. In summary, and stated plainly here because it is a term and not merely a disclosure:

6. Connected accounts

If you connect Perren to a third-party account — Google Workspace, Microsoft 365, an accounting system — you authorize her to access it as needed to do what you ask. You are responsible for having the right to grant that access. Your use of those services remains governed by your agreements with those providers, and we are not responsible for their acts, omissions, or availability.

7. Fees, billing and renewal

8. Fair use of the model service

Perren's answers are produced by a metered model service that costs us money per use. Subscriptions include generous limits set for normal business use. If usage is sustained far beyond that pattern — automated querying, scripted load, or use by more people than you have Seats for — we may throttle the service or ask you to move to a plan that fits. We will contact you before taking action, and throttling degrades speed rather than cutting you off mid-conversation.

9. Term, termination and what happens to your data

This agreement runs for your subscription term and any renewals. Either party may terminate for material breach if the breach is not cured within 30 days of written notice. We may suspend immediately in case of unlawful use or a security risk to others.

On termination, your licence ends and Perren stops answering. What she already learned about your business does not disappear — it is on your computer, and it stays there. You can export it or erase it from inside the application. We hold no copy to return or delete, which is a consequence of the design rather than a policy.

10. Confidentiality

Each party may receive non-public information from the other. Each will protect the other's confidential information with at least reasonable care, use it only for this agreement, and disclose it only to people who need it and are bound to protect it. This does not apply to information that is public, independently developed, or lawfully obtained elsewhere, and does not prevent disclosure required by law — with notice where legally permitted.

11. Intellectual property

We own Perren: the software, the models’ orchestration, the interface, the persona, the name, and the marks. Nothing here transfers any of that to you beyond the licence in Section 2. Feedback you give us may be used freely and without obligation.

12. Warranty disclaimer

PERREN IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PERREN WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR COMPLETE.

Some jurisdictions do not allow certain disclaimers, in which case the above applies to the fullest extent permitted.

13. Limitation of liability

NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.

EACH PARTY'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits do not apply to your payment obligations, to either party's breach of confidentiality, or to liability that cannot be limited by law — including fraud, willful misconduct, or death or personal injury caused by negligence.

14. Indemnification

By us. We will defend you against a third-party claim that Perren, used as permitted, infringes that party's US intellectual property rights, and pay damages finally awarded, subject to the cap in Section 13. If such a claim is made or likely, we may modify Perren, obtain a licence, or terminate the affected subscription and refund fees for the unused portion of the term. This does not apply to claims arising from Your Content, from Output you chose to use, from combination with anything we did not supply, or from use outside this agreement.

By you. You will defend us against third-party claims arising from Your Content, from your use of Output, or from your breach of this agreement or of law.

15. Assignment

We may assign this agreement, in whole or in part, without your consent — including in connection with a merger, acquisition, corporate reorganization, financing, a sale of all or substantially all of our assets, or a sale or transfer of the Perren product line or its assets, whether or not the rest of our business is included. Your subscription and any founding-customer pricing survive such a transfer on the same terms.

You may not assign this agreement without our prior written consent, except to a successor to all or substantially all of your business, provided the successor is not a competitor of ours and you notify us.

This agreement binds and benefits the parties and their permitted successors and assigns.

16. Changes to these terms

We may update these terms. For material changes we will give at least 30 days’ notice to the email address on your account, and the change takes effect at your next renewal — not mid-term. Continuing to use Perren after that date means you accept the updated terms. If you do not, you may decline renewal.

17. Governing law and disputes

This agreement is governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Bergen County, New Jersey. The UN Convention on Contracts for the International Sale of Goods does not apply.

Before filing, the parties will attempt in good faith to resolve any dispute by discussing it — for at least 30 days after written notice.
